Saipem: A second list was filed for the renewal of the Board of Statutory Auditors

Milan (Italy), April 6, 2023 – Saipem informs that, in view of the Shareholders' Meeting of Saipem S.p.A due to take place on May 3, 2023 (single call), to resolve, inter alia, on the renewal of the Board of Statutory Auditors, a group of Shareholders[1], whose declared shareholding totals 1,91781% of Saipem's ordinary share capital, have filed a joint list in compliance with the terms of the law.

The list comprises the following candidates:

All candidates stated that they meet the requirements set forth by law and the Articles of Association to serve as members of the Board of Statutory Auditors, as well as the independence requirements set forth in Article 148, paragraph 3, of Legislative Decree 58/98, and Recommendation 7 of the Corporate Governance Code.

The first candidate in the Statutory Auditors’ section, Giovanni Fiori, is proposed, pursuant to Article 27 of the Articles of Association, as Chairman of the Board of Statutory Auditors.

It should be noted that the Shareholders stated, also pursuant to Consob Communication no. DEM/9017893 of 26.02.2009, that they do not have any connection and/or significant relations with Shareholders who, either jointly or on their own, hold a controlling or relative majority interest.
