The Shareholders’ Meeting approves the 2011 Financial Statements
San Donato Milanese (Milan), 27 April 2012 - Today, at Saipem’s General Shareholders’ Meeting, the 2011 Financial Statements were approved, as well as the distribution of a dividend of Euro 0.70 per ordinary share (€ 0.63 in 2010) and Euro 0.73 per savings share (€ 0.66 in 2010) .
Dividends will be paid from May 24, 2012; ex-date: May 21, 2012.
At the Shareholders’ meeting the following appointments to the Board of Statutory Auditors put forward by Eni, the Shareholder, were also approved: Anna Gervasoni, to the role of Statutory Auditor, and Giulio Gamba, confirmed in the role of Alternate Auditor. The Shareholders voted in favour of the remuneration policy, pursuant to art. 123 ter of Legislative Decree 58/98.
Finally, certain amendments to the Articles of Association – articles 19 and 27 – aimed at ensuring gender balance in the Board of Directors and Board of Statutory Auditors, in compliance with Law no. 120 of July 12, 2011 and Consob Resolution no.18098 of February 8, 2012, were also approved at the meeting.
