Saipem: the Board of Directors confirmed that a Board Director and the Statutory Auditors meet the legal and independence requirements and supplemented the composition of the Related Parties Committee
Milan, 27 May 2026 – Saipem’s Board of Directors met today, and, on the basis of the declarations made by the newly appointed Board Director Monica Girardi, verified (i) her compliance with the integrity requirements foreseen by current law provisions, (ii) the absence of grounds for ineligibility and incompatibility, (iii) her compliance with the maximum number of executive positions established by the Board itself, (iv) her compliance with the independence requirements set out in the Consolidated Law on Finance as well as in the Corporate Governance Code, and has confirmed her as a member of the Related Parties Committee.
During the same meeting, the Board of Directors also took note of the positive outcome of the checks conducted by the Board of Statutory Auditors regarding the fulfilment of the independence requirements of its President Giovanni Fiori, of the Standing Auditors Antonella Fratalocchi and Matteo Adinolfi and of the Alternate Auditors Raffaella Annamaria Pagani and Maria Francesca Talamonti as provided for by law and the Corporate Governance Code.
