Saipem: A list for the renewal of the Board of Statutory Auditors has been filed

Milan (Italy), April 15, 2026 – Saipem informs that, in view of the Shareholders' Meeting of Saipem S.p.A due to take place on May 12, 2026 (single call), to resolve, inter alia, on the renewal of the Board of Statutory Auditors, a group of Shareholders[1], which has declared that it collectively holds a participation equal to 1.90438% of Saipem's share capital, has filed a list in compliance with the terms of the law.

The list comprises the following candidates:

Section Statutory Auditors

Section Alternate Auditors

1. Raffaella Annamaria Pagani

All candidates stated that they meet the requirements set forth by law and the By-laws to serve as members of the Board of Statutory Auditors, as well as the independence requirements set forth in Article 148, paragraph 3, of Legislative Decree 58/1998 and Recommendation 7 of the Corporate Governance Code.

The first candidate in the Statutory Auditors’ section, Giovanni Fiori, is proposed pursuant to Article 27 of the By-laws as Chairman of the Board of Statutory Auditors.

It should be noted that the Shareholders stated, also pursuant to Consob Communication no. DEM/9017893 of February 26, 2009, that they do not have any connection and/or significant relations with Shareholders who, either jointly or on their own, hold a controlling or relative majority interest.

The list and all relevant documentation required by current legislation shall be made available in compliance with the terms of the law at the Company’s registered office, on the Company’s website at www.saipem.com - section “Shareholders’ Meeting – General Shareholders' Meeting 2026 (ordinary and extraordinary sessions)”, at Borsa Italiana S.p.A. (www.borsaitaliana.it) and on the authorized storage mechanism “eMarket STORAGE” www.emarketstorage.com.
